AGREEMENT on connection to the Unified State Web Portal of Electronic Services

The Ministry of Digital Transformation of Ukraine (hereinafter — the Owner (Holder) of the Diia Portal), represented by Deputy Minister Valeriia Serhiivna Koval, acting on the basis of the Regulation on the Ministry of Digital Transformation of Ukraine, approved by Resolution of the Cabinet of Ministers of Ukraine dated September 18, 2019 No. 856, and Order of the Ministry of Digital Transformation of Ukraine dated October 1, 2025 No. 162 "On Defining the Duties of the First Deputy Minister and Deputy Ministers" (as amended), of the first part, State Enterprise "DIIA" (hereinafter — the Technical Administrator of the Diia Portal), represented by the Chairman of the Commission Denys Oleksandrovych Maiboroda, acting on the basis of Order of the Ministry of Digital Transformation of Ukraine dated 12.01.2026 No. N5 (as amended by Order dated 09.03.2026 No. N49) and the Enterprise's Charter, of the second part, and Individual Entrepreneur Oleksandr Oleksandrovych Hulianych (hereinafter — the Information User), acting on the basis of an Extract from the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Associations dated 19.03.2025 No. 2010350000000747116, of the third part, hereinafter jointly referred to as the Parties, and each individually as a Party, have entered into this Agreement on Connection to the Unified State Web Portal of Electronic Services (hereinafter — the Agreement) as follows.

1. GENERAL PROVISIONS

1.1. This Agreement is concluded in accordance with the provisions set out in the Laws of Ukraine "On Information", "On the Protection of Information in Information and Communication Systems", "On Electronic Communications", "On Personal Data Protection", "On Electronic Identification and Electronic Trust Services", "On the Basic Principles of Ensuring Cybersecurity of Ukraine", "On the Specifics of Providing Public (Electronic Public) Services", "On the Unified State Demographic Register and Documents Confirming Ukrainian Citizenship, Certifying a Person's Identity or Special Status", the Regulation on the Unified State Web Portal of Electronic Services, approved by Resolution of the Cabinet of Ministers of Ukraine dated December 4, 2019 No. 1137 (as amended), and other laws and subordinate legal acts governing the relations provided for by this Agreement.

1.2. This Agreement defines the general procedure for electronic information interaction between the Unified State Web Portal of Electronic Services (hereinafter — the Diia Portal) and the Information User's information and communication system (hereinafter — the information and communication system).

1.3. The concepts and terms used in this Agreement are used in the meanings set out in the current legislation of Ukraine.

2. SUBJECT OF THE AGREEMENT

2.1. This Agreement defines the procedure for electronic information interaction by connecting the information and communication system to the Diia Portal in order to implement the possibility, established by current legislation, of generating and/or transmitting, by means of the Diia Portal, including through the Diia Portal's mobile application (Diia), electronic representations of information contained in documents generated by means of the Diia Portal, electronic copies of electronic representations of information contained in documents generated by means of the Diia Portal, as well as separate information (data) contained in an electronic representation of information contained in documents generated by means of the Diia Portal, and their verification.

2.2. The Owner (Holder) of the Diia Portal ensures:

2.2.1. the maintenance and proper functioning of the Diia Portal, as well as the storage of data and protection of information on the Diia Portal;

2.2.2. the analysis and quality control of the Diia Portal's functioning;

2.2.3. the establishment of unified information reference books, registers, classifiers and identifiers used by the Diia Portal.

2.3. Within the framework of this Agreement, the Technical Administrator of the Diia Portal ensures:

2.3.1. the electronic identification and authentication of individuals undergoing electronic identification in the information and communication system, the compatibility and integration of electronic identification schemes implemented in the Diia Portal's mobile application (Diia), their interaction with the information and communication system, and the protection of information and personal data using unified requirements, formats, protocols and classifiers;

2.3.2. interaction and compatibility with information and communication systems that implement electronic identification schemes, and with the Information User's information and communication system;

2.3.3. the protection of Diia Portal users' data from unauthorized access, destruction, and modification by ensuring organizational and technical measures, and implementing means and methods of technical information protection;

2.3.4. the delineation and control of access to information contained on the Diia Portal;

2.3.5. the monitoring of visits, the recording of events occurring on the Diia Portal that relate to its security, and the blocking of unauthorized actions against protected resources;

2.3.6. support for and updates to application program interfaces for the Information User;

2.3.7. the generation of electronic representations of information (data) contained in documents that may be presented (provided) by a person through the Diia Portal's mobile application (Diia) in cases provided for by current legislation, by technical means, in particular using an electronic identifier (QR code/barcode/digital code) with long-term uniqueness;

2.3.8. the transmission, by means of the Diia Portal, including through the Diia Portal's mobile application (Diia), of an electronic copy of an electronic representation of information contained in documents, at the wish of the individual. Transmission of separate information (data) contained in an electronic representation of information contained in documents is carried out in the format of a binary file, encrypted, signed with a qualified electronic signature and encoded in base64 (for example, "Internal-passport-XXXXXXXXXX XXX-XX.XX.XXXX-XX_XX.pdf.p7s.p7e"). Metadata is transmitted in a base64-encoded-string format file, encrypted and encoded in base64 (for example, "encodeData.json.p7s.p7e");

2.3.9. the generation of an electronic copy of an electronic representation of information contained in an individual's documents, by means of the Diia Portal, with the application of that person's remote qualified electronic signature "Diia.Signature" ("Diia ID") and the Technical Administrator of the Diia Portal's qualified electronic seal with the corresponding qualified electronic time stamp.

2.4. Within the framework of this Agreement, the Information User ensures:

2.4.1. the processing of restricted-access information in compliance with the conditions defined by the Law of Ukraine "On the Protection of Information in Information and Communication Systems";

2.4.2. the processing of personal data in accordance with the Constitution of Ukraine, the Law of Ukraine "On Personal Data Protection", other laws and subordinate legal acts, and international treaties of Ukraine consented to as binding by the Verkhovna Rada of Ukraine.

2.5. Connecting the Information User's information and communication system to the Diia Portal and carrying out electronic information interaction is free of charge. The process of configuring the connection of the Information User's information and communication system to the Diia Portal is carried out at the Information User's expense.

2.6. In the event of termination of the free-of-charge connection of the Information User's information and communication system to the Diia Portal and/or the free-of-charge conduct of electronic information interaction, the Owner (Holder) of the Diia Portal and the Technical Administrator of the Diia Portal shall notify the Information User in writing of the connection of the Information User's information and communication system to the Diia Portal and/or the conduct of electronic information interaction at the Information User's expense, 30 (thirty) calendar days before the day the free-of-charge connection and/or free-of-charge electronic information interaction is terminated.

2.7. If the Information User's information and communication system is connected to the Diia Portal and/or electronic information interaction is carried out at the Information User's expense, the Parties shall enter into an additional agreement to the Agreement in accordance with clause 10.2 of this Agreement.

2.8. In the event the Information User disagrees with connecting its information and communication system to the Diia Portal and/or carrying out electronic information interaction at its own expense, the Agreement may be terminated in the manner set out in clause 9.3 of this Agreement.

3. RIGHTS AND OBLIGATIONS OF THE PARTIES

3.1. When performing the terms of this Agreement and using the Diia Portal, the Parties are obliged to be guided by and comply with the requirements of the Laws of Ukraine "On Information", "On the Protection of Information in Information and Communication Systems", "On Personal Data Protection", "On Electronic Identification and Electronic Trust Services", and other laws and subordinate legal acts governing the relations provided for by this Agreement.

3.2. By entering into this Agreement, the Information User undertakes to comply with the following requirements and rules when connecting the information and communication system to the Diia Portal:

3.2.1. to ensure, when connecting to the Diia Portal, the sequence of actions provided for by the technical documentation, and to ensure the secure and uninterrupted operation of the information and communication system, including during and in the course of its electronic information interaction with the Diia Portal;

3.2.2. to inform individuals — users of the Diia Portal — about the possibility of electronic identification and authentication using the Diia Portal;

3.2.3. to use, in electronic information interaction with the Diia Portal, exclusively the means provided for by current Ukrainian legislation for ensuring secure and standardized data exchange, and to adapt its information and communication system to work with the Diia Portal;

3.2.4. to comply with the requirements of regulatory, normative and other current acts of Ukrainian legislation that establish the procedure for the Diia Portal's functioning and its electronic information interaction with the information and communication system;

3.2.5. to immediately inform the Technical Administrator of the Diia Portal, but no later than within 2 (two) hours from the occurrence of such circumstances, by email at start@diia.gov.ua, of any problem (error) related to the use of the Diia Portal and/or that arose in the course of working with the Diia Portal, as well as of the circumstances under which such a problem (error) arose and the consequences the Parties may suffer in connection therewith;

3.2.6. to immediately inform the Technical Administrator of the Diia Portal, but no later than within 2 (two) hours from the occurrence of such circumstances, by email at start@diia.gov.ua, of any circumstances relating to information protection, personal data protection and the security of the Diia Portal and/or the information and communication system; the functioning of the Diia Portal and/or the information and communication system, their electronic information interaction, and/or a direct threat of the occurrence of such circumstances (blocking, leakage, destruction of information, unauthorized actions with respect to information in the system, violation of the integrity of information in the system);

3.2.7. to provide, at the written request of the Technical Administrator of the Diia Portal, the information necessary to assess the level of protection of the information and communication system and the protection of personal data, information on security rules, and a description of the implemented measures applied;

3.2.8. to fulfill the requirements for electronic information interaction between the Diia Portal and the information and communication system provided for by this Agreement;

3.2.9. to follow the recommendations of the Technical Administrator of the Diia Portal regarding the use, connection and operation of the Diia Portal;

3.2.10. to carry out testing of electronic information interaction between the Diia Portal and the information and communication system;

3.2.11. to ensure the timely updating and renewal of the encryption certificate of the information and communication system owner's electronic seal upon the expiry of its validity period;

3.2.12. not to transfer to third parties the production acquirer token created for electronic information interaction between the Diia Portal and the information and communication system, and not to create corresponding branch IDs based on it.

3.3. The Information User has the right to:

3.3.1. obtain from the Technical Administrator of the Diia Portal the possibility of access to the Diia Portal for testing electronic information interaction between the Diia Portal and the information and communication system;

3.2.2. connection to the Diia Portal in accordance with the requirements and conditions defined in this Agreement;

3.3.3. round-the-clock access, through the official Diia Portal website (https://diia.gov.ua), to: electronic identification schemes connected to the Diia Portal; the Diia Portal's application programming interface intended for connecting the Information User's information and communication system to the Diia Portal;

3.3.4. contact the Technical Administrator of the Diia Portal for technical support regarding the connection of the information and communication system to the Diia Portal;

3.3.5. submit applications, drawn up in any form, on any matters relating to the performance of the terms of the Agreement, to start@diia.gov.ua;

3.3.6. require the Parties to perform their obligations under this Agreement.

3.4. The Owner (Holder) of the Diia Portal undertakes:

3.4.1. to organizationally ensure, within the powers granted by legislation, the proper performance by the Technical Administrator of the Diia Portal of the functions defined by legislation relating to the performance of the terms of the Agreement.

3.5. The Owner (Holder) of the Diia Portal has the right to:

3.5.1. require the Information User and the Technical Administrator of the Diia Portal to perform their obligations under this Agreement.

3.6. The Technical Administrator of the Diia Portal undertakes:

3.6.1. to provide the Information User with the ability to carry out testing of electronic information interaction between the Diia Portal and the information and communication system;

3.6.2. to provide the Information User with consultations regarding electronic information interaction between the Diia Portal and the information and communication system in a convenient manner (in particular, in an online format).

3.7. The Technical Administrator of the Diia Portal has the right to:

3.7.1. send the Information User notices (in paper or electronic form) on matters relating to electronic information interaction between the Diia Portal and the information and communication system. In doing so, electronic notices from the Technical Administrator of the Diia Portal sent to the Information User are, in status, equivalent to official written notices from the Technical Administrator of the Diia Portal and must be taken into account by the Information User;

3.7.2. require the Information User to properly perform its obligations under this Agreement.

4. CONDITIONS FOR CARRYING OUT ELECTRONIC INFORMATION INTERACTION

4.1. Electronic information interaction between the Diia Portal and the information and communication system is carried out on the basis of this Agreement, provided that the Information User fulfills and complies with the following requirements:

4.1.1. the information and communication system must be put into operation;

4.1.2. the Information User has drawn up all documents required by Ukrainian legislation that are necessary for the functioning of the information and communication system;

4.1.3. the compatibility of the information and communication system and the Diia Portal has been pre-verified in the Diia Portal's test mode;

4.1.4. the Information User complies with the terms of the Agreement regarding the processing of personal data, as defined in Section 5 of this Agreement.

5. MATTERS OF PERSONAL DATA PROCESSING BY THE INFORMATION USER

5.1. The Information User undertakes to comply with the following requirements regarding the processing of Diia Portal users' personal data:

5.1.1. to process personal data, as the controller of personal data that determines the purpose of personal data processing, establishes the composition of such data and the procedures for its processing in accordance with the Law of Ukraine "On Personal Data Protection", openly and transparently, using means and in a manner that corresponds to the defined purposes of such processing;

5.1.2. to process personal data on the grounds defined by the Law of Ukraine "On Personal Data Protection";

5.1.3. to process personal data only for a defined, clear and lawful purpose, and thereafter not to process personal data in a manner incompatible with such purpose;

5.1.4. to store personal data in a manner that ensures its integrity and an appropriate level of access to it;

5.1.5. to process personal data in a manner that corresponds to the defined purposes of such processing and ensures the proper protection of personal data, including ensuring the protection of such data from accidental loss or destruction, and from unlawful processing, including unlawful destruction of or access to personal data;

5.1.6. to allow access to personal data only to those persons who have undertaken a written obligation of non-disclosure of personal data, or on whom such an obligation is imposed by law;

5.1.7. to take other organizational and technical measures to ensure the lawful processing of personal data in accordance with legislation in the field of personal data protection, including, among other things, conducting training for persons authorized by the Information User to process users' personal data regarding personal data protection, determining the procedure for access to personal data and the procedure for keeping records of operations related to the processing of and access to personal data, and developing an action plan in case of loss, destruction, unlawful processing, including unlawful destruction of or access to personal data, damage to technical equipment, or the occurrence of emergency situations;

5.1.8. to approve, at the time of concluding this Agreement, in accordance with Order of the Ukrainian Parliament Commissioner for Human Rights dated January 8, 2014 No. 1/02-14 "On the Approval of Documents in the Field of Personal Data Protection", the relevant documents in the field of personal data protection, and to use them within the framework of electronic information interaction with the Diia Portal, in particular a Notice on the Processing of Personal Data, which must be available to the personal data subject on an ongoing basis;

5.1.9. to appoint a person responsible for ensuring the protection of personal data within the framework of electronic information interaction with the Diia Portal, in the manner determined by Ukrainian legislation in the field of personal data protection;

5.1.10. without undue delay, but no later than within 2 (two) hours from the occurrence of such circumstances, to notify the Technical Administrator of the Diia Portal of any loss, destruction, unlawful processing, unlawful destruction of or access to personal data, or transfer of personal data, and to provide full information on such circumstances, as well as the measures taken to respond to such circumstances;

5.1.11. in the event of the transfer of personal data to foreign subjects of relations related to personal data, to ensure strict compliance with the requirements of international treaties and current Ukrainian legislation, in particular Article 29 of the Law of Ukraine "On Personal Data Protection", regarding compliance with the requirements for: the existence of grounds for transferring personal data to foreign subjects of relations related to personal data, in particular where the personal data subject has given unambiguous consent to such a transfer; the necessity of concluding or performing a transaction between the controller of personal data and a third party — the personal data subject — for the benefit of the personal data subject; the necessity of protecting the vital interests of personal data subjects; or the necessity of protecting the public interest, and the establishment, exercise or defense of a legal claim; the provision by the controller of personal data of appropriate guarantees regarding non-interference in the private and family life of the personal data subject;

5.1.12. not to transfer personal data to foreign subjects registered in a state recognized by the Verkhovna Rada of Ukraine as an aggressor state or an occupying state, in states that are members of customs and military unions with such states, and/or whose ultimate beneficial owner, member or participant (shareholder) is such states, or to subjects whose activities fall under the Law of Ukraine "On Sanctions" and against whom a decision has been made to apply sanctions in Ukraine.

5.2. The Information User, together with the person responsible for ensuring the protection of personal data, is obliged to cooperate with the Owner (Holder) of the Diia Portal and the Technical Administrator of the Diia Portal on matters of personal data protection and, without undue delay, but no later than 3 (three) business days from the date of a request from the Owner (Holder) of the Diia Portal and/or the Technical Administrator of the Diia Portal, to provide the information and documents necessary to confirm compliance with the Information User's obligations set out in Section 5 of this Agreement.

5.3. Liability for failure to comply with the requirements regarding the processing of personal data established in this Section is borne by the Information User, as the controller of personal data, in accordance with the Law of Ukraine "On Personal Data Protection" and in accordance with the requirements of current Ukrainian legislation.

6. TERMS OF MEDIA COOPERATION

6.1. The Information User may disclose information (conduct media communications, make publications, post information on web resources, etc.) about the connection to the Diia Portal only subject to prior approval of such disclosure by the Technical Administrator of the Diia Portal.

6.2. Information requiring prior approval by the Technical Administrator of the Diia Portal: — materials (the content of texts, images, videos, photographic images and other content); — the resource on which such materials will be placed; — the planned date and period of placement.

6.3. To obtain the approval of the Technical Administrator of the Diia Portal, the Information User sends the information requiring approval through the communication channels determined by the Technical Administrator of the Diia Portal, including to start@diia.gov.ua. Within 3 (three) business days from the date of receipt of the relevant information, the Technical Administrator of the Diia Portal approves it by sending a reply email to the Information User, or provides a refusal or reasoned comments regarding the need to make appropriate changes to the information requiring approval.

6.4. The Information User shall notify the Technical Administrator of the Diia Portal of its intention to disclose information no later than 7 (seven) calendar days before the planned date of disclosure. In the event of active communication (video filming, press conferences, media, social networks, etc.) involving other Parties, the Information User shall notify the Technical Administrator of the Diia Portal of its intention to disclose information no later than 20 (twenty) calendar days before the planned date of disclosure.

7. LIABILITY OF THE PARTIES

7.1. The Parties are liable for non-performance or improper performance of the terms of the Agreement in accordance with this Agreement and current Ukrainian legislation.

7.2. The Parties are not liable for breach of their obligations under this Agreement if it occurred through no fault of theirs. A Party is deemed not at fault if it proves that it took all measures within its power for the proper performance of the obligation.

7.3. The Information User is liable for the processing of personal data collected by it within the framework of electronic information interaction with the Diia Portal.

7.4. The Technical Administrator of the Diia Portal is liable for the relevance and accuracy of data during electronic information interaction.

7.5. The Owner (Holder) of the Diia Portal and the Technical Administrator of the Diia Portal are not liable for the quality and reliability of the operation of the electronic communication networks used by the Information User during electronic information interaction, or for the suitability of such networks for data transmission; for the quality of the equipment used by the Information User during electronic information interaction; or for failures in the operation of the Information User's computer equipment.

7.6. The Parties are liable for the disclosure of confidential information that became known to them in connection with the conclusion and performance of this Agreement, in accordance with Ukrainian legislation, namely information: — that one of the Parties receives from the other Party, on the basis of this Agreement, during the provision of consultations or actions to establish contractual relations; — that belongs to the Party providing it, or is in its possession or disposal, and is designated by it as confidential; — that is not known to the other Party at the time such information is provided.

7.7. The Owner (Holder) of the Diia Portal and the Technical Administrator of the Diia Portal are liable for compliance with the requirements of personal data protection legislation during the transfer of personal data to the Information User.

7.8. The Parties are released from liability for full or partial non-performance of obligations under the Agreement if such non-performance resulted from circumstances of insurmountable force beyond the control of the Party that failed to perform its obligation. Such circumstances include, without limitation: military actions during martial law, termination of electricity supply and communications, emergency power outages, global disruptions in segments of the internet, failures caused by hacker and DDoS attacks, failures of routing systems, failures in the distributed domain name system, and the like.

8. DISPUTE RESOLUTION PROCEDURE

8.1. All disputes between the Parties related to the conclusion of this Agreement, the invalidation of the Agreement in whole or in a separate part thereof, or the interpretation and performance of any terms of the Agreement, shall be resolved through mutual negotiations and consultations between the Parties.

8.2. If agreement is not reached through negotiations, such disputes shall be resolved in court in accordance with current Ukrainian legislation.

9. TERM OF THE AGREEMENT. TERMINATION OF THE AGREEMENT. SUSPENSION OF ELECTRONIC INFORMATION INTERACTION

9.1. The Agreement, signed with a qualified electronic signature, takes effect from the date of its signing by the Parties' authorized representatives, namely from the moment the last, in terms of time, electronic signature is applied by an authorized representative of one of the Parties, and is valid until December 31, 2026.

9.2. If none of the Parties has notified the other Parties in writing, 30 (thirty) calendar days before the day of termination of the Agreement, of an intention to terminate the Agreement, it shall be deemed automatically extended until December 31 of the following year, and thereafter automatically extended for each subsequent calendar year, annually, until any of the Parties submits a notice of its termination.

9.3. The Agreement may be terminated early:

9.3.1. by mutual consent of the Parties;

9.3.2. by a court decision that has entered into legal force;

9.3.3. at the request of one of the Parties in the event of non-performance by the other Party of its obligations under this Agreement, brought to the Party's attention by sending a corresponding letter;

9.3.4. at the initiative of one of the Parties, if the Party wishing to terminate the Agreement notifies the other Parties in writing no less than 30 (thirty) calendar days before the desired date of termination of the Agreement. In this case, the Agreement shall be deemed terminated 30 (thirty) calendar days from the date the Parties receive such written notice, or from the date indicated by the Party, but no earlier than 30 (thirty) calendar days from the date the Parties receive the notice;

9.3.5. on other grounds provided for by current Ukrainian legislation and this Agreement.

9.4. The Owner (Holder) of the Diia Portal has the right to terminate the Agreement due to the impossibility of its performance, having notified the Parties 30 (thirty) calendar days in advance, in cases of: — the absence of more than one month's funding for the Diia Portal; — amendments to and/or the adoption of relevant legal acts that, in particular, regulate matters concerning the functioning of the Diia Portal.

9.5. The Owner (Holder) of the Diia Portal and the Technical Administrator of the Diia Portal have the right to refuse to perform the Agreement and to terminate the Agreement unilaterally, with notice to the Information User, if the Information User violates the terms of the Agreement or the requirements of current Ukrainian legislation governing the relevant legal relations.

9.6. The Owner (Holder) of the Diia Portal and/or the Technical Administrator of the Diia Portal have the right to suspend electronic information interaction with the Information User in cases of:

9.6.1. the Information User providing inaccurate data or data that is incomplete, which affects the electronic information interaction between the Diia Portal and the information and communication system, until such circumstances are remedied;

9.6.2. the existence of a reputational risk for the Owner (Holder) of the Diia Portal and/or the Technical Administrator of the Diia Portal, where information from open sources indicates that the Information User has failed to comply with the requirements of current Ukrainian legislation or the terms of this Agreement, with notice to the Information User of the reasons for the suspension of electronic information interaction. If a violation of the requirements of current Ukrainian legislation or the terms of this Agreement by the Information User is officially established, the Owner (Holder) of the Diia Portal and the Technical Administrator of the Diia Portal have the right to take the actions provided for in clause 9.5 of this Agreement. If the circumstances regarding the Information User's failure to comply with the requirements of current Ukrainian legislation or the terms of this Agreement are not confirmed, electronic information interaction is resumed.

10. OTHER TERMS

10.1. The Parties are obliged to promptly notify each other in writing of any change, update, or revision of any of their details specified in this Agreement (address, renaming of a Party, a decision on liquidation, reorganization, or the commencement of bankruptcy proceedings of a Party), or of any other data necessary and important for the Parties to properly and timely perform the terms of this Agreement, within 3 (three) calendar days from the date such changes are made (implemented/carried out). The Party that fails to perform this obligation bears the negative consequences of such a breach.

10.2. Amendments may be made to this Agreement by concluding additional agreements thereto, which must be signed with the application of a qualified electronic signature of the Parties' authorized representatives.

10.3. This Agreement is concluded in the Ukrainian language, with the Parties fully understanding its content and terminology.

10.4. An integral part of this Agreement is the Application Form for connecting the Information User's information and communication system to the Diia Portal (Annex to the Agreement) (hereinafter — the Application Form), the completion of which is a mandatory condition for signing this Agreement.
